3.12 General Meeting by Requisition
By-law 1, Section 4.3 and the Ontario Not-for-Profit Corporations Act, 2010, Section 60, allow for not less than one-tenth of the members entitled to vote at a general meeting to request the directors to call such a meeting, for the purposes stated in the requisition. This policy describes what is required for that to occur.
The request for a General Meeting is a document that a requestor must provide before such a meeting is scheduled. This document will be distributed to all members by the Club in advance of the meeting. It must contain the following sections:
- Identification of the requestor, including as a minimum: name, member number, membership class, years of membership, and may contain biographical information or other personal information about the requestor such as Whitevale or business background.
- Statement of the problem or opportunity that the requestor wishes to bring to the attention of the membership or the Board of Directors.
- Identification of the specific actions being requested. If bylaw or policy changes are requested, this includes the exact wording that is proposed.
- A petition which includes the signatures, names and dates from those members who are participating in the request. The petition shall state "I support the views in this request and ask that a general meeting be held to discuss it."
Upon receipt of the request, all signatories will be contacted to confirm that it is valid. Once the request has been validated, the Board will endeavour to schedule the meeting at a convenient time that does not conflict with other Club activities. If it is practical to do so, the general meeting may be scheduled coincident with another meeting.
If in the judgement of the Board the request warrants the expenditure of significant funds, (e.g., to retain a specialist to study a proposal), then the Board may require the requestor to provide a deposit until the matter is settled, and to forfeit that deposit should the membership vote against the proposal.
